Agreement to Terms
These Terms of Service ("Terms") govern your use of the Repute Agent website at https://www.reputeagent.com/ (the "Website") and the digital marketing and AI services provided by Repute Agent ("Repute Agent", "we", "us", or "our").
By accessing the Website, submitting a form, or purchasing or using any of our services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website or our services.
If you are using our services on behalf of a business, you confirm that you have the authority to accept these Terms on its behalf.
Our Services
Repute Agent provides digital agency services, including website design and development, digital marketing, graphic design, search engine optimization (SEO), and online presence management, as well as AI solutions, including AI voice receptionists, AI outbound appointment setting, AI lead generation funnels, knowledge base chatbots, content repurposing, custom AI automation, and reputation management (together, the "Services").
The specific scope, deliverables, timelines, and fees for your project or plan will be set out in a proposal, quote, order form, or statement of work (a "Proposal"). If a Proposal conflicts with these Terms, the Proposal will control for that project.
Package descriptions and prices shown on the Website are for general information and may change. Your final scope and price are confirmed in your Proposal.
Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use our Services. Our Services are intended for businesses and professionals.
If we provide you with access to a dashboard, CRM, or other account, you are responsible for keeping your login details secure and for all activity under your account. Please notify us immediately of any unauthorized use.
Fees, Payment & Billing
- Fees. You agree to pay the fees set out in your Proposal. Project fees, monthly plan fees, and any setup fees are payable as stated in your Proposal or invoice.
- Recurring plans. Monthly plans are billed in advance on a recurring basis until cancelled. By choosing a monthly plan, you authorize us to charge your payment method each billing cycle.
- Third-party costs. Unless your Proposal says otherwise, advertising spend, software subscriptions, domains, hosting, data tools, phone numbers, and call or message usage charges are not included in our fees and are paid by you, either directly to the provider or reimbursed to us.
- Late payment. If payment is late, we may pause or suspend the Services until your account is brought current.
- Taxes. Fees do not include applicable taxes, which you are responsible for paying.
Cancellation & Refunds
Monthly plans may be cancelled at any time with written notice sent to [email protected] before your next billing date. Cancellation takes effect at the end of the current billing period, and fees already paid for that period are not refunded.
One-time projects are billed as set out in your Proposal. Because work begins as soon as a project starts, fees for work already performed and any deposits are non-refundable unless your Proposal states otherwise.
Setup fees and third-party costs already incurred on your behalf are non-refundable.
Your Responsibilities
To help us deliver great results, you agree to:
- Provide accurate, complete, and timely information, content, feedback, and approvals.
- Give us the access we reasonably need, such as website, social media, ad account, CRM, or phone system access.
- Ensure you own or have the right to use any content, logos, images, data, or materials you give us, and that our use of them as directed will not infringe anyone's rights.
- Comply with all laws that apply to your business, including advertising, privacy, consumer protection, and telemarketing laws.
Delays in providing information or approvals may delay timelines and deliverables.
AI Services & Automated Communications
Many of our Services use artificial intelligence, including AI voice agents, chatbots, automated messaging, and content generation. By using these Services, you understand and agree that:
- AI is not perfect. AI-generated responses, content, summaries, and data may occasionally be inaccurate or incomplete. You are responsible for reviewing important outputs and for decisions you make based on them.
- Consent to contact. When our AI Services call, text, or email your leads or customers on your behalf, you are responsible for ensuring you have the legally required consent to contact them, including consent for automated, prerecorded, or AI-generated calls and messages, and for honoring opt-out requests.
- Compliance. You agree to use AI Services in line with applicable laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, call recording laws, and carrier and platform messaging rules.
- Recordings. Calls handled by AI agents may be recorded and transcribed. You are responsible for any notices required in your jurisdiction.
- No professional advice. AI agents and chatbots are not a substitute for medical, legal, financial, or other professional advice, and should be configured accordingly for regulated industries.
We may refuse or suspend any use of AI Services that we believe is unlawful, harmful, or likely to damage our phone numbers, domains, or platform standing.
Communications from Us
By submitting your information through our forms and checking the consent boxes, you agree to receive calls, text messages, and emails from Repute Agent, which may include automated, prerecorded, or AI-generated communications. Message frequency may vary and message and data rates may apply. You can opt out of text messages at any time by replying STOP, and reply HELP for assistance. Consent is not a condition of purchase. See our Privacy Policy for more details.
Intellectual Property
Our Website. All content on the Website, including text, graphics, logos, designs, and code, is owned by or licensed to Repute Agent and is protected by intellectual property laws. You may not copy, reproduce, or distribute it without our written permission.
Your deliverables. Once you have paid all fees due for a project, you will own the final deliverables created specifically for you, such as your final website design, logo, and marketing materials, unless your Proposal states otherwise.
Our tools and know-how. We keep ownership of our pre-existing tools, templates, code libraries, workflows, AI prompts, and know-how, even if they are used in your project. Where they are part of your deliverables, you receive a license to use them as part of those deliverables.
Portfolio. Unless you ask us not to in writing, we may display work we created for you in our portfolio and marketing.
Third-Party Platforms
Our Services rely on third-party platforms and tools, such as website and CRM platforms, ad networks, social media platforms, AI model providers, phone and messaging carriers, and data providers. Your use of those platforms is also subject to their own terms and policies.
We are not responsible for changes, outages, account suspensions, policy decisions, or pricing changes made by third-party platforms, although we will work with you to resolve any issues that affect your Services.
No Guarantee of Results
We work hard to deliver strong results, but outcomes like search rankings, website traffic, leads, reviews, appointments, sales, or revenue depend on many factors outside our control, including search engine and platform algorithms, competition, market conditions, and your own business. For this reason, we do not guarantee any specific results, and any examples, statistics, or projections we share are not promises of future performance.
Acceptable Use
When using our Website or Services, you agree not to:
- Use them for any unlawful, fraudulent, deceptive, or harmful purpose.
- Send spam or contact people without the consent required by law.
- Request fake reviews or any content that is misleading, defamatory, or infringes others' rights.
- Attempt to hack, disrupt, overload, or gain unauthorized access to the Website, our systems, or our AI tools.
- Copy, resell, or reverse engineer our Services, tools, or workflows.
Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only to perform or receive the Services. This does not apply to information that is already public, independently developed, or that must be disclosed by law.
Disclaimer of Warranties
The Website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Repute Agent disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website or Services will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the fullest extent permitted by law, Repute Agent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from your use of the Website or Services.
Our total liability for any claim relating to the Website or Services will not exceed the amount you paid us for the Services giving rise to the claim during the three (3) months before the claim arose.
Indemnification
You agree to defend, indemnify, and hold harmless Repute Agent and its owners, employees, and contractors from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your content or materials, your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including claims related to contacting people without required consent.
Termination
We may suspend or end your access to the Website or Services if you breach these Terms, fail to pay fees when due, or use the Services in a way that is unlawful or harmful. You may end Services as described in the Cancellation section above.
When Services end, any unpaid fees become due. Sections that by their nature should continue, such as payment, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.
Governing Law & Disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law rules. Before starting any formal proceeding, both parties agree to try to resolve any dispute informally by contacting each other. If a dispute cannot be resolved, it will be handled exclusively in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction.
Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Website or Services after changes are posted means you accept the updated Terms.
